FACEX Consulting Group and its affiliates (“FACEX” or “we”) provide content on its websites or applications that post a link to these Terms of Service (the “Site”) subject to the following terms and conditions (the “Terms”). We may periodically amend these Terms without prior notice, so please review them regularly. These Terms were last updated on June 26, 2023. By accessing and using this Site, you agree to these Terms. For an understanding of FACEX’s practices and policies related to the collection, use, and storage of our users’ information, please review our Privacy Policy.
1. Copyright
All content and functionality on the Site, including text, graphics, logos, icons, images, videos, as well as any industry concepts, knowledge, tools, structures, software, applications, technology, algorithms, models, processes, and perspectives incorporated therein, along with any improvements or derivative works (the “Site Content”) are the exclusive property of FACEX or its licensors. They are, as applicable, protected by both Panamanian and international copyright laws. Neither the Site Content nor the Site’s functionality can be copied, reproduced, modified, reverse-engineered, altered, uploaded, posted, or distributed in any way without our written consent, save for uses specified in Section 3 – Site Content Use. All rights not expressly granted are reserved.
2. Trademarks
The trademarks, service marks, designs, and logos (collectively, the “Trademarks”) displayed on the Site are the registered and unregistered Trademarks of FACEX and its licensors. You agree that, unless expressly permitted by us or our licensors, you will not refer to or attribute any information to FACEX in any public medium for advertising or promotional purposes and will not use or reproduce any FACEX Trademark.
3. Site Content Use
FACEX grants a limited, non-exclusive, non-transferable, and revocable license to access, download, view, and print one copy of the Site Content on a single computer exclusively for your internal and commercial use, provided you do not modify the Site Content and comply with these Terms. The Site Content may not be reproduced, modified, distributed, transmitted, published, or disclosed without FACEX’s prior written consent.
4. User Posts
You acknowledge and agree that FACEX shall own and have the unrestricted right to use, publish, and exploit any information you post on the Site. By submitting a post, you grant FACEX a global, non-exclusive, transferable, sublicensable, fully paid-up, perpetual, and irrevocable license to use, reproduce, publish, distribute, modify, and exploit such post for any purpose.
You pledge not to post materials that (a) are threatening, defamatory, or obscene; (b) constitute or encourage conduct that could be considered a crime, incur civil liability or violate any law; (c) infringe on the intellectual property, privacy, or other rights of third parties; (d) contain a computer virus or any other destructive elements; (e) contain advertising; (f) consist of or contain false or misleading statements; or (g) violate these Terms.
FACEX assumes no responsibility for information posted by users but retains the right to refuse or remove any information, in whole or in part, for any or no reason.
5. Infringement Notification and Takedown
FACEX prohibits the posting of any information that infringes or violates the copyright and/or other intellectual property rights of any person or entity. If you believe any content on the Site violates your rights, please write to FACEX, detailing: (a) identification of the allegedly infringed work or intellectual property right; (b) identification of the allegedly infringing material; (c) your name, address, phone number, and email; (d) a statement of your good faith belief that the use is unauthorized; (e) a statement that the information in the notification is accurate; and (f) the signature of the right holder or someone authorized to act on their behalf.
6. Disclaimers
THE CONTENT AND FUNCTIONALITY ON THE SITE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. FACEX WILL NOT BE LIABLE FOR ANY INFORMATION POSTED ON LINKED SITES, INCLUDED IN USER POSTS, OR PROVIDED BY THIRD PARTIES. FACEX WILL NOT BE RESPONSIBLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL DAMAGES OR LOSSES.
7. Indemnification
You agree to indemnify, defend, and hold harmless FACEX from any claims arising from your use of the Site or any violation of these Terms.
8. Third-party Websites and Providers
We may provide links to third-party websites. FACEX holds no responsibility for these third-party sites, which are governed by their own terms of use and privacy policies.
9. Governing Laws and Jurisdiction
These Terms are governed by the laws of the Republic of Panama, without regard to its conflict of laws principles.
